Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Conversion System, LLC (operating BlueMap) ("BlueMap," "we," "us," or "our") governing your access to and use of the BlueMap platform, websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of the Service

BlueMap is an AI marketing platform for multi-location businesses. The Service uses artificial intelligence to research, generate, schedule, and publish marketing content — including website pages, blog posts, social media posts, local business listings, and related SEO assets — across the locations and channels you connect.

Autonomy postures and your control. Content is produced by AI and is governed by the autonomy posture you configure for each type of action. You choose among posture levels such as AUTO (the Service may publish approved categories of output automatically), SEMI (sampled or partial review before publishing), MANUAL (you review and approve items before they publish), and GATED (additional review gates apply, the default for regulated categories). We do not represent that a human reviews every item. The degree of human review is determined by the posture you select. You are responsible for choosing a posture appropriate to your business, industry, and legal obligations, and for reviewing output before it is published where your obligations require it.

The Service may fan a single strategy out across many locations in batches ("waves"). You remain responsible for the output attributed to your locations regardless of the posture or wave configuration you choose.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate account information and to keep it current.

• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
• You must notify us promptly at hello@bluemap.com of any unauthorized use of your account or any other breach of security.
• You are responsible for the acts and omissions of any users, team members, or agents you invite or authorize to use the Service on your behalf.

4. Subscriptions, Billing & Payments

The Service is offered on a subscription basis. Paid plans are billed in advance on a recurring monthly cycle unless otherwise stated in an order or plan description.

Payment processing. Payments are processed by Stripe, Inc. By providing payment information, you authorize us and Stripe to charge your payment method for the applicable fees. Your payment details are handled by Stripe under its own terms and privacy policy; we do not store full payment card numbers.

• Renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled.
• Cancellation. You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods or unused capacity.
• Price changes. We may change subscription prices; we will give reasonable advance notice, and changes take effect at the start of the next billing period.
• Taxes. Fees are exclusive of taxes, which you are responsible for except for taxes on our net income.
• Late or failed payment. If a charge fails, we may suspend or limit the Service until payment is resolved.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation, or infringe the rights of others;
• Publish content that is unlawful, deceptive, defamatory, or that you are not authorized to publish;
• Misrepresent your identity, your business, or your affiliation with any location or brand you do not control;
• Generate or distribute spam, or violate the terms, rate limits, or policies of any connected third-party platform;
• Upload malware or attempt to gain unauthorized access to, disrupt, probe, or reverse engineer the Service or its infrastructure;
• Use the Service to build or train a competing product, or to resell the Service except as expressly permitted;
• Publish content in regulated categories in a manner that violates the rules governing those categories.

We may investigate suspected violations and may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Service or other users.

6. Customer Content & License

"Customer Content" means the materials you provide to or connect with the Service, including brand and voice documents, business facts, location information, credentials for connected accounts, and any end-customer data you route to the Service. As between you and us, you retain all ownership of your Customer Content.

You grant us a worldwide, non-exclusive license to host, process, reproduce, and use Customer Content solely to operate, provide, secure, and improve the Service for you — including transmitting it to the subprocessors described in our Privacy Policy for the purposes of generating, publishing, and reporting on your marketing. You represent that you have the rights and permissions necessary to provide the Customer Content and to authorize the publishing actions you configure.

7. AI-Generated Output

The Service produces marketing output using AI models. Subject to your payment of applicable fees, you own the output that you approve for your locations and brands, to the extent such output is capable of ownership under applicable law.

• Review AI content. AI-generated content can be inaccurate, incomplete, or unsuitable for a given context. You are responsible for reviewing output for accuracy, legal compliance, and fit before it is relied upon or published, consistent with the autonomy posture you select.
• No similarity guarantee. AI output is generated statistically and may resemble output generated for other users; we do not warrant that output is unique.
• No results guarantee. We do not guarantee any specific outcome — including search rankings, traffic, leads, conversions, or revenue. Marketing results depend on many factors outside our control.

8. Intellectual Property

The Service, including its software, models integration, agent designs, user interface, documentation, and the BlueMap name and marks, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service. You may not copy, modify, distribute, or create derivative works of the Service except as permitted here.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

9. Third-Party Platforms

The Service publishes and reports on your behalf to third-party platforms you connect, which may include WordPress, Google Business Profile, and social networks, among others. When you connect an account, you authorize BlueMap to access that account and to create, schedule, publish, and manage content on your behalf through the platform's APIs and the postures you configure.

• Your use of each third-party platform is governed by that platform's own terms and policies, and you are responsible for complying with them.
• Third-party platforms may change, limit, or discontinue their APIs at any time, which can affect the Service. We are not responsible for the acts, omissions, availability, or content policies of third-party platforms.
• You are responsible for maintaining valid credentials and permissions for the accounts you connect, and for revoking access when appropriate.

10. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BLUEMAP OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BlueMap and its affiliates, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service, including content you approve or publish; (c) your violation of these Terms or applicable law; or (d) your violation of the terms of any connected third-party platform or the rights of any third party.

12. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Service in a way that creates legal risk or harm. Upon termination, your right to use the Service ceases. We may retain and delete Customer Content in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of [Governing State], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [Governing State] for any dispute arising out of or related to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
